Description of the Course and the Objectives of the Course:
 Content of the Course
1. Effective communication ways between lawyers and clients in international business negotiation.
2. Cooperation with outside counsel or in-house counsel in international business negotiation.
3. Strategy for successful international business negotiation.
4. Process for international business negotiation.
5.Learn to read and participate negotiations regarding joint venture agreements, licensing agreements etc.
6.Learn the basic strategy about M&A negotiation
7. Think the emerging issues regarding negotiation in the era of Big Data and Artificial Intelligence
Objectives:
1. Understanding the effective communication ways to communicate with clients of the lawyers.
2. Understanding the procedure of international business negotiations.
3. Understanding the methods to become an effective negotiator.
Expected Outcomes:
1. Ability to identify the obligations of parties in international negotiations.
2. Ability to participate in a mock negotiations to develop and present legal arguments.
3. Ability to understand and draft position papers in international business negotiations.

1. 國際商務談判律師及委任人間之有效溝通
2. 國際商務談判外部顧問及公司法務之合作
3. 成功的國際商務談判策略
4. 國際商務談判之程序
5.學習閱讀及參與合資契約、授權契約、採購契約等契約談判
6.學習基礎併購策略、併購協商及整體流程
7.思考大數據及AI時代下談判新議題
學習目標:
1. 理解國際商務談判下律師及委任人間的有效溝通方法
2. 學習國際談判程序
3. 學習如何成為一位有效的談判者
預期學習成果:
1. 具備辨別國際商務談判下雙方責任義務之能力
2. 具備參與實際談判及建構與表述法律論點之能力
3. 具備理解並草擬國際商務談判立場文件之能力

本學期有如下變動請注意:因同學反應需配合週六專題討論時間,本課程因應同學要求,調整本堂課授課時間為週六下午三點到五點,再請同學留意。
